Please read these Terms and Conditions carefully. They are the agreement between you and Zack Kravits Inc., an Arizona corporation (“Company,” “we,” “us,” or “our”), covering your purchase of and participation in products and programs sold by the Company (each, a “Product,” and sometimes called a “Program”). Zack Kravits is the Company’s founder and may deliver coaching or instruction. Purchases on this website are with the Company, not with Zack Kravits personally, unless a separate signed agreement expressly says otherwise.
By purchasing a Product, creating an account, or accessing Program materials, you (“Client,” “you,” or “your”) agree to these Terms and Conditions. If you do not agree, do not purchase or access the Product.
Order of control. If you sign a separate agreement for a specific Product, that signed agreement controls that purchase if it conflicts with these Terms. If a sales page, checkout page, or order form states a refund, return, or guarantee term for a Product, that product-specific term controls over Section 5 for that purchase. These Terms otherwise control.
1. PROGRAM
The Company agrees to provide the course content, materials, and any other deliverables described on the sales page for the Product you purchase. Products are online educational materials and, where stated, coaching, intended to help Clients market a business online. You agree to follow these Terms as a condition of participation.
The Company operates from Maricopa County, Arizona. Sessions, support windows, and delivery dates, if any, are those stated on the sales page or in the signed agreement for that Product.
2. NO PROFESSIONAL RELATIONSHIP
The Company and Zack Kravits are not your employee, agent, lawyer, doctor, manager, therapist, public-relations representative, business manager, registered dietitian, financial analyst, psychotherapist, or accountant. Participation in a Product will not diagnose or treat any disease, illness, or ailment. If you have a medical, legal, tax, or financial question, consult a licensed professional of your own choosing.
Neither the Company nor Zack Kravits promises, and neither is obligated to provide, any of the following, unless a signed agreement for that Product expressly says otherwise:
(a) any particular business result, revenue, or sales outcome; (b) coaching or consulting on future contracts you enter; (c) publicity, social-media exposure, interviews, features, or television or print promotion; or (d) an introduction to Zack Kravits’s contacts, media relationships, or business partners.
No ongoing advisory relationship is created by a website purchase. Any relationship ends when your access to that Product ends, except for provisions that by their nature survive.
3. FINANCIAL OBLIGATION
You are responsible for paying the price disclosed at checkout for each Product you purchase, including all installments if you select a payment plan. The price and schedule on the checkout page, or in a signed agreement, control. If those two conflict, the signed agreement controls.
You agree to pay all amounts due under the schedule you select at checkout. That obligation continues whether or not you complete the Program, access the materials, or request a refund, except to the extent the product-specific refund terms, a signed agreement, or a non-waivable law require otherwise. We may suspend access for nonpayment. We may seek recovery of unpaid amounts, including through a collection agency, to the extent permitted by law and these Terms.
4. METHODS OF PAYMENT
We accept Visa, Mastercard, and American Express, and any other method shown at checkout. If you select a payment plan, you authorize the disclosed installment charges to the card or other payment method you provide. You agree to keep that payment method current until the balance is paid. A payment plan for a fixed Product is not a subscription and does not renew, unless the checkout page expressly says it renews.
5. REFUNDS, RETURNS, AND GUARANTEES
Refund, return, and guarantee terms are specific to each Product. They are not the same across our offerings.
The terms that apply to your purchase are the refund, return, or guarantee terms disclosed for that Product on its sales page, checkout page, order form, or signed program agreement at the time you purchase. Those product-specific terms control that purchase. If those terms say the sale is final, or that no refund is offered, that is the policy for that Product.
Some Products include a stated refund window, conditional guarantee, or other remedy. Some Products are sold as a final sale and include no refund. If the page or signed agreement for a Product does not expressly offer a refund or guarantee, that Product is sold as a final sale, except where a non-waivable right under applicable law requires otherwise.
Where a Product offers a conditional guarantee or other stated remedy, the conditions disclosed for that Product at the time of purchase are mandatory. You must meet those conditions before any refund or other remedy will be issued. Downloading, accessing, or using digital materials does not create a refund right that the product-specific terms do not provide. An approved refund will be issued to the original payment method, unless applicable law requires a different method.
Nothing in this section limits a non-waivable refund, cancellation, or cooling-off right under applicable law.
Questions about the policy for a specific Product: [email protected].
6. CONFIDENTIALITY
We respect your privacy, and you agree to respect the confidentiality of information shared inside a Program.
Non-public information that you or another participant shares in a Program, including on a call or in a forum, is confidential. You will not disclose another participant’s non-public business, financial, or personal information to anyone outside the Program, and you will not use it except to participate in the Program.
Non-public information we share with you about our methods, materials, pricing not posted publicly, or business operations is confidential. You will not disclose it to a third party or use it except for your own participation in the Product you purchased.
Confidential information does not include information that is or becomes public through no fault of yours, that you already knew without a duty to keep it confidential, or that you receive from a third party who is not bound by a duty of confidentiality.
This section does not restrict you from sharing your honest opinion about a Product, the Company, or your experience, including in a review. It also does not restrict a disclosure required by law, regulation, or legal process, or a disclosure necessary to prevent a credible threat of harm to you or another person.
You agree not to collect or disclose other participants’ names, email addresses, phone numbers, or postal addresses for any purpose other than participation in the Program. You will not violate our publicity or privacy rights.
If you threaten or commit a breach of this confidentiality section, we or an affected participant may seek injunctive relief to prevent disclosure of confidential information, in addition to any other remedy available at law. A review of your own experience is not a breach of this section.
7. YOUR RESPONSIBILITY
Products are for educational purposes only. You are solely responsible for your decisions, actions, and results. We make no representation, warranty, or guarantee, verbal or written, that you will achieve any particular result.
Results vary. As with any business activity, you may lose money. Program materials are prepared for a general audience and are not advice tailored to you. We are not responsible for errors or omissions in Program materials.
8. RECORDING AND USE OF PARTICIPATION
Your participation in a Program, including coaching calls, may be recorded in audio, video, still image, or another form. You grant the Company and its representatives, successors, assigns, employees, contractors, licensees, and agents (collectively, “Producers”) the right to record that participation and to use the recording, in whole or in part, in any medium now known or later developed, worldwide and in perpetuity, to operate a coaching library and to promote the Company’s products and services, without further compensation or approval, including reasonable editing.
You waive any interest in those recordings. They are the Company’s property. You represent that statements you make in a recording are factually accurate and reflect your honest opinions and experience. You release the Producers from claims arising out of their use of a recording as permitted in this section, including claims of invasion of privacy or publicity, defamation, or copyright infringement, except to the extent caused by our willful misconduct or a statement we know is false.
This grant is not a condition of any refund or guarantee. Eligibility for a product-specific remedy is governed only by that Product’s posted terms or signed agreement.
You represent that you are at least 18 years old and able to contract in your own name. This section binds you and your heirs, executors, administrators, and permitted assigns.
9. LIMITATION OF LIABILITY
You use the Products at your own risk. A Product is an educational service. To the fullest extent permitted by Arizona law, you release the Company and its officers, employees, directors, principals, agents, successors, assigns, instructors, and staff (collectively, “Releasees”) from claims arising out of your participation, except to the extent caused by our gross negligence, willful misconduct, or a non-waivable legal duty.
To the fullest extent permitted by law, the Company will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising out of a Product or these Terms, even if advised of the possibility. Our total liability arising out of a Product will not exceed the amount you paid the Company for that Product in the three months before the claim, except where a non-waivable law requires otherwise.
Some jurisdictions do not allow certain limitations. In those jurisdictions, the limitations apply only to the extent permitted.
10. NON-DISPARAGEMENT
You and we agree not to make a knowingly false statement of fact about the other to a third party. Nothing in these Terms prohibits or penalizes an honest review, comment, or other statement about a Product, the Company, or your experience, whether positive or negative.
A dispute about these Terms is subject to the dispute-resolution section below. This section does not require you to resolve a dispute before you may publish an honest review.
11. INDEMNIFICATION
You will defend and indemnify the Company and its officers, employees, contractors, directors, and successors against third-party claims, damages, and reasonable attorneys’ fees arising out of your misuse of a Product, your breach of these Terms, or your violation of law or of a third party’s rights, except to the extent caused by our breach of these Terms, gross negligence, or willful misconduct.
Shareholders, directors, and affiliates are not personally liable for the Company’s obligations except to the extent a non-waivable law provides otherwise, or except where a signed agreement names an individual as a party.
12. INTELLECTUAL PROPERTY
Program materials are copyrighted. We grant you a personal, non-exclusive, non-transferable, single-user license to use the materials for your own education while your access is active. You may not copy, share, sell, publish, or distribute the materials, or use our trademarks, except as we expressly allow in writing. All intellectual property remains ours. No license to resell or relicense the materials is granted.
You will not infringe our copyright, trademark, or other intellectual property rights, and you will not disclose our confidential materials. If you breach or threaten to breach this section, we may seek injunctive relief.
13. INDEPENDENT CONTRACTOR
These Terms do not create a partnership, joint venture, employment, or agency relationship. Each party is an independent contractor.
14. FORCE MAJEURE
Neither party is liable for a delay or failure caused by an event beyond its reasonable control, including natural disaster, war, terrorism, labor disruption, utility failure, or a change in law, provided the affected party gives notice and uses reasonable efforts to perform. Your payment obligation for materials already delivered is not excused. If a force-majeure event prevents us from delivering a Product for more than 60 days, you may terminate that Product and receive a pro-rata refund of fees paid for the undelivered portion, unless the product-specific terms or a signed agreement state a different remedy.
15. SEVERABILITY AND WAIVER
If a provision is held invalid or unenforceable, the remaining provisions continue in effect, and the invalid provision will be modified to the minimum extent necessary to make it valid. A failure to enforce a right is not a waiver of that right.
16. ASSIGNMENT
You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a sale of the business.
17. MODIFICATION
We may update these Terms for future purchases by posting a revised version on the website. The version posted at the time of your purchase applies to that purchase. We will not change the refund or guarantee terms of a Product you have already purchased, except with your express consent or where required by law. Continued use of a free website feature after an update constitutes acceptance of the update for that feature only. A signed agreement can be changed only in a writing signed by both parties.
18. TERMINATION
We want every Client to have a workable Program experience. We may suspend or end your access, without refund and without forgiving unpaid installments, if you materially disrupt the Program, harass participants or staff, share materials in violation of these Terms, or materially breach these Terms. You remain responsible for the unpaid contract balance, subject to any product-specific refund term, any signed agreement, and non-waivable law. We will tell you the reason for a termination decision if you write to [email protected].
If we stop providing a Product for our own convenience, and you are not in breach, you are entitled to a pro-rata refund of fees paid for the undelivered portion, unless a signed agreement states a different earned-fee schedule.
19. DISPUTE RESOLUTION
Contact us first at [email protected] and describe the dispute. The parties will attempt in good faith to resolve it within 30 days after that notice.
If it is not resolved, either party may bring an individual claim in small-claims court in Maricopa County, Arizona, or in the small-claims court of the county where you live. Any other dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, if those rules apply, and otherwise under its Commercial Arbitration Rules. The arbitration will be held in Maricopa County, Arizona, or by video, at your election. The Federal Arbitration Act governs the agreement to arbitrate.
You and we waive a jury trial and class or representative proceeding to the extent permitted by law. An arbitrator may award any individual relief a court could award. Either party may seek temporary injunctive relief from a court in Maricopa County, Arizona, to protect intellectual property or confidential information while arbitration proceeds.
A demand must be filed within the period provided by the applicable statute of limitations.
If you initiate arbitration of a consumer claim, we will pay the arbitration filing fees the AAA Consumer Arbitration Rules require us to pay. Each party otherwise bears its own attorneys’ fees, unless the arbitrator awards fees under applicable law. In a claim solely to collect an unpaid balance that you do not dispute in good faith, the arbitrator may award us reasonable collection costs and attorneys’ fees to the extent permitted by law.
Judgment on the award may be entered in a court of competent jurisdiction. The award is subject to the review the Federal Arbitration Act allows.
20. EQUITABLE RELIEF
If money damages would be an inadequate remedy for misuse of intellectual property or confidential information, the injured party may seek a temporary restraining order or injunction from a court of competent jurisdiction in Maricopa County, Arizona. That request does not waive arbitration of the underlying dispute.
21. NOTICES
Ordinary notices may be given by email. Email notice is deemed received on the date sent if no bounce message is received. Our notice address is [email protected].
Formal service of process may be made on the Company’s registered agent, Republic Registered Agent LLC, 3101 N. Central Ave, Ste 183, Phoenix, AZ 85012, or on any later agent listed with the Arizona Corporation Commission.
22. ENTIRE AGREEMENT AND GOVERNING LAW
These Terms, together with the product-specific terms disclosed at purchase and any signed agreement for the Product you buy, are the entire agreement on this subject and supersede prior discussions about that subject. A signed agreement controls over these Terms if they conflict. Product-specific refund, return, and guarantee terms control over Section 5 if they conflict and no signed agreement covers that point.
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs the arbitration agreement. The state and federal courts located in Maricopa County, Arizona, have jurisdiction over any matter not subject to arbitration, and you consent to that venue, except that you may bring an individual small claim in the county where you live.
23. EARNINGS DISCLAIMER
We have tried to describe our Products accurately. We do not guarantee that you will earn money using the ideas in the materials. Examples are not a promise of earnings. What you earn depends on your effort, skills, prior experience, market, and finances. These factors differ by person. We cannot guarantee your income or results, and we are not responsible for your actions.
We do not offer a “get rich” program. Testimonials and examples describe individual experiences. They are not typical, and they are not a promise that you will achieve a similar result. If we state a specific earnings figure, we will provide the basis for that figure on request to [email protected], to the extent we still have the supporting record.
Materials may include forward-looking statements. Those statements are opinions about potential, not facts and not guarantees. Words such as “anticipate,” “estimate,” “expect,” “project,” “intend,” “plan,” and “believe” signal a forward-looking statement. Many factors affect actual results. No guarantee is made that you will achieve any particular result, or any result.
